End User License Agreement (EULA) for ATOMOSphere

Effective Date: 28 March 2025

ATOMOSphere is a platform operated by Atomos Limited. At Atomos, we want our users to be as creative and successful as possible. To support that, users of ATOMOSphere (its website, platform, services, third-party integrations, and related entities — collectively, the “Services”) must agree to follow these Terms of Use (“Terms”), put in place to protect all users of the Services. Most of it is common sense:

  • You won’t use the Services in any way that violates intellectual property rights, laws, or regulations.
  • You won’t use the Services in any way that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, or promotes violence.
  • You won’t use the Services to hack accounts, spam users, or host viruses/malware/pirated software.
  • You grant the Services the ability to store information you provide, such as your name, email, profile picture, and any other information required to use the Services.

Terms Specifics

These Terms outline the rules and regulations for use of the Services. By using the Services, you agree to be bound by these Terms. You may not use the Services without agreeing to and following them.

User Accounts

To access the Services, you must create a User Account by providing your full name, email address, password, and an optional profile picture (“avatar”). You agree that the information you provide is accurate and not impersonating anyone. You’re responsible for securing your login credentials and for all activity associated with your account. You grant ATOMOSphere permission to store your account information as required for service functionality.

Workspaces and Users

Users may create Workspaces to upload content and invite other users. These users may be designated as “Collaborators” (team members with permission to view and modify content, depending on access settings) or “External Clients” (view-only access via Review Links). All user actions are governed by roles and permissions configured in the Workspace or Review Link settings.

You are responsible for:

  • Managing permissions for users invited to your Workspaces.
  • Any actions taken by users you invite (directly or indirectly).
  • Ensuring invited users comply with these Terms.

Content

You are responsible for any content you or your users upload, and must ensure that:

  • You own or have appropriate rights to the content.
  • The content does not infringe laws or rights of others.
  • You do not upload or share harmful, illegal, or unauthorized content (e.g., malware, pirated files, hacking tools).
  • You do not attempt to reverse-engineer or gain unauthorized access to the Services.

Parts of the Services may allow user-generated comments or logs. Atomos does not pre-screen or moderate this content and is not liable for it. Comments reflect the views of the individual users, not Atomos.

Third-Party Content

ATOMOSphere may integrate media from third-party providers (e.g., stock images, music, or video). These providers may require you to agree to their own license terms or pay additional fees. It is your responsibility to follow those terms. For example, media from providers like Pixabay may have separate terms linked from within the platform.

Atomos is not responsible for third-party content mislabelled or miscategorized. You agree to indemnify Atomos from any claims related to your use of third-party stock media.

Publishing

If the Services enable you to publish directly to third-party platforms (e.g., social media or YouTube), you are solely responsible for:

  • Ensuring you have the right to publish to those platforms.
  • Complying with the platform’s own terms of use.

If publishing to YouTube, you must also comply with YouTube’s Terms of Service.

Disruptions of Service

You acknowledge that service disruptions may occur, including due to third-party service providers. While Atomos will make best efforts to maintain service reliability, you agree that Atomos is not liable for any data loss, content loss, or workflow disruption.

User Data

User registration and data will only be disclosed to third parties where necessary to provide the Services or comply with legal requirements. Anonymous data may be used for analytics and service improvement. For more information, see our Privacy Policy.

Cookies

Cookies may be used to improve user experience, enable login sessions, or support service functionality. For more information, refer to our Privacy Policy.

License and Intellectual Property

Unless otherwise stated, Atomos and/or its licensors retain all intellectual property rights to the Services. You are granted a license to access and use ATOMOSphere in accordance with these Terms — not to redistribute, sublicense, or copy it beyond permitted use.

Billing and Termination

If you upgrade to a paid Workspace plan, the billing contact (as defined in Workspace settings) will be billed monthly based on usage (e.g., storage or user count). Fees may be prorated and processed automatically each month unless the subscription is canceled.

By providing payment information, you confirm that:

  • You have authorization to use the selected payment method.
  • You will not use fraudulent or unauthorized payment methods.

Violation of these Terms may result in account suspension or termination without notice.

Disclaimer

The Services are provided “as is”, without warranties of any kind. Atomos is not liable for indirect or consequential damages, including:

  • Data loss
  • Service interruptions
  • Loss of revenue or business

You agree to indemnify and hold Atomos, its affiliates, officers, employees, and partners harmless against claims arising from your use of the Services or violation of these Terms.
